The terms governing use of our website and services.
These terms
These terms cover your use of this website and any services you buy from Novascape Technologies where no separate signed agreement applies. Where you have signed a service agreement or order form with us, that document takes precedence over these terms.
Services
We provide software products on a subscription basis and custom development and automation services under scoped engagements. What is included in your particular engagement is set out in your order form, proposal or plan description.
Guarantees
Where a page on this site states a guarantee, that guarantee applies on the terms written on that page, and the conditions attached to it — such as providing the access, information or approvals we need to do the work — must be met. Guarantees are honoured as stated: typically a free period, a refund, or work continuing at no charge until delivery.
Fees and payment
Subscription fees are billed in advance for the period stated in your plan. Project fees are billed against the milestones in your proposal. Invoices are payable by the due date shown. We may suspend a service on materially overdue accounts after giving notice.
Your responsibilities
You are responsible for the accuracy of the data you put into our systems, for keeping your account credentials secure, and for ensuring you have the right to give us any data you ask us to process. You must not use our services unlawfully or attempt to disrupt them.
Intellectual property
We retain ownership of our products, platforms and any pre-existing tools used in delivery. For custom builds, ownership of the delivered work transfers to you on final payment, as set out in your engagement agreement. Your data remains yours throughout.
Compliance
Our software helps you meet obligations such as KRA eTIMS requirements, but responsibility for your own regulatory compliance, filings and record-keeping remains yours. We are not your tax adviser or legal adviser.
Availability
We work to keep services available and will give notice of planned maintenance where we reasonably can. Except where a signed agreement states a service level, services are provided without a guaranteed uptime commitment.
Liability
Nothing here limits liability that cannot be limited by law. Otherwise, our total liability in connection with a service is limited to the fees you paid for that service in the twelve months before the claim, and we are not liable for indirect or consequential loss.
Ending the agreement
Subscriptions can be cancelled effective at the end of the current billing period. Project engagements end as set out in the relevant proposal. On termination we will make your data available for export for a reasonable period.
Governing law
These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction over any dispute.
